Legal continuity is preserved throughout: the CIN and financial history stay with the entity. The ROC name change is the pacing item; everything else runs in parallel around it.

Professional sign-off required. The MOA amendment, name change, novation strategy, and anything touching obligations to the Innowiz partners must be executed by a practising Company Secretary and lawyer. This blueprint is a working plan, not legal advice.
WEEKS 1–4 · LEGAL COUNSEL + YOU

Untangle Innowiz cleanly

Inventory every contract, retainer, and success-fee agreement held in Innowiz's name. Review the partnership deed for noncompete, non-solicit, and IP clauses. Decide per client: novation vs. fresh engagement letter under the new entity. Nothing is announced until this is mapped.

WEEKS 3–8 · COMPANY SECRETARY

Restructure the entity

Amend the MOA object clause to add management consulting, advisory, international trade facilitation, and business development (special resolution + MGT-14). File the RUN application for the name change to Swarnika International Private Limited; obtain the fresh Certificate of Incorporation. Reconstitute board and shareholding deliberately — this is the moment to design governance you control.

WEEKS 6–10 · CA / CS

Update registrations

GST, PAN/TAN records, bank accounts, FSSAI (name update, licence continuity), and obtain an Importer-Exporter Code for the trade-corridor work. File trademark applications for SWARNIKA INTERNATIONAL and SWARNIKA ALLIANCE (India, Class 35/36; EUIPO to follow).

WEEKS 6–10 · BRAND + WEB

Build the brand & website

Commission final logo artwork against the identity specification. Secure swarnikainternational.com and mail migration. Build the group website (pages 7–9); prepare rebranded deck, letterhead, engagement-letter and invoice templates.

WEEKS 10–12 · YOU PERSONALLY

Run the communication sequence

Private client letters first, contract novation second, public announcement last — the full package and drafts are on page 5. Brief the 27-partner channel network and Nordic stakeholders with updated collateral.

WEEKS 12–14 · GROUP

Go live & align globally

Website launch with redirects from swarnikaagro.com and innowizconsulting.com (where controllable). Formalise the Stavanger presence under the group's own name — a Norwegian branch (NUF) or a subsidiary such as Swarnika International Nordic AS — so Nordic contracts and revenue flow correctly to the group. First invoices issue under Swarnika International Private Limited.

Growth story, never an exit story

The narrative is consolidation and scale — bringing the advisory practice and the agro-industrial business under one international group. Sequence is everything: no client should learn of the change from LinkedIn.
